PAYDAY PLUS SOFTWARE LICENSE
THIS
AGREEMENT CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU, THE “END USER”, AND PAYDAY
PLUS SOFTWARE, LLC. YOU SHOULD READ THE FOLLOWING TERMS AND CONDITIONS. USING
PAYDAY PLUS SOFTWARE INDICATES YOUR ACCEPTANCE OF AND BINDS YOU TO THESE TERMS
AND CONDITIONS.
1. GRANT OF LICENSE. PAYDAY PLUS SOFTWARE,
LLC grants END USER the right to use this copy of the PAYDAY PLUS program, the "SOFTWARE",
on a single computer and allows END USER to manage the books of one loan
operation (one location or store).
2. COPYRIGHT RESTRICTIONS; OWNERSHIP OF
SOFTWARE. END USER owns the media on which the program is recorded; PAYDAY
PLUS SOFTWARE, LLC retains title to the SOFTWARE including copies, regardless
of form or media, and to all copyrights therein. The SOFTWARE and accompanying
written and/or multimedia training materials are copyrighted. END USER may
either (a) transfer the SOFTWARE to a single computer and retain the original SOFTWARE
for backup purposes; or (b) make one copy of the SOFTWARE solely for backup and
archival purposes. The original source code is protected as a trade secret.
Therefore, END USER may not attempt to disassemble, decompile or otherwise
reverse engineer the SOFTWARE.
3. TRANSFER RESTRICTIONS. END USER may
transfer the SOFTWARE with a copy of this Agreement to another party only on a
permanent basis and only if the other party accepts the terms and conditions of
this Agreement. Upon such transfer, END USER must transfer all accompanying
written materials and either transfer or destroy all copies of the SOFTWARE. END
USER may not lease or rent the SOFTWARE.
4. TERMINATION. This License is effective
until terminated. The License will terminate automatically without notice from PAYDAY
PLUS SOFTWARE, LLC if END USER fails to comply with any provision of the
License. END USER may voluntarily terminate at any time. Upon termination, END
USER agrees to destroy or purge all copies of the SOFTWARE and any accompanying
written materials.
5. LIMITED WARRANTY. As its only warranty
under this Agreement, PAYDAY PLUS SOFTWARE, LLC warrants the media on which the
SOFTWARE is provided to be free from defects in materials under normal use for
a period of 90 days from the date of the delivery to END USER as evidenced by END
USERS purchase receipt. EXCEPT AS EXPRESSLY WARRANTED HEREIN, THE SOFTWARE IS
PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF
THE PROGRAM IS WITH END USER. PAYDAY PLUS SOFTWARE, LLC DOES
NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET END USER
REQUIREMENTS OR THAT THE OPERATION OF THE PROGRAM WILL BE UNINTERRUPTED OR
ERROR FREE.
6. TECHNICAL SUPPORT. If this purchase is
a non-discounted full version of the PAYDAY PLUS program, three months of free
technical support, following the installation of our product, is included with END
USER purchase. The scope of this support includes assistance to properly
install the SOFTWARE and questions on how to use the program. This assumes that
END USERS computer is setup and functioning properly prior to installation. It
also assumes that END USER has the basic knowledge of how to operate the computer.
Free support does not include assistance in setting up END USERS computer,
network or any other software or hardware. Technical support on issues that do
not pertain to the installation and use of the SOFTWARE may be available,
depending on the nature of the problem, under our Pay-Per-Incident support plan
described at http://www.paydayplus.com/Support/support_options.htm.
If END USER requires additional assistance, END USER has the option to purchase
an addition support agreement.
7. LIMITATION OF LIABILITY. IN NO EVENT
WILL PAYDAY PLUS SOFTWARE, LLC OR ITS VENDORS BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, CONSEQUENTIAL OR INCIDENTAL
DAMAGES ARISING FROM END USERS
USE OF, OR INABILITY TO
USE, THE SOFTWARE, EVEN IF PAYDAY PLUS SOFTWARE, LLC HAS BEEN ADVISED
OF THE POSSIBILITY OF SUCH DAMAGES. END USER ACCEPTS ALL RESPONSIBILITY TO DETERMINE THE LEGALITY
AND USABILITY INCLUDING BUT NOT LIMITED TO, ALL SOFTWARE CUSTOM BUILT FORMS,
CALCULATIONS/FORMULAS, INFORMATION STORAGE AND RETRIEVAL. PAYDAY
PLUS SOFTWARE, LLC DOES
NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY OF THE RESULTS OR OUTPUT
THAT DERIVES FROM USE OF THE SOFTWARE.
